TERMS OF SERVICE

1. AGREEMENT

By accessing or using HookVault ("the Platform", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users — listeners, licensees, and artists.

2. THE PLATFORM

HookVault is a music licensing and publishing platform operated by HookVault | BBW Publishing. We provide tools for artists to publish and license their music, and for licensees to discover and license music for their projects.

3. ACCOUNTS

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. Notify us immediately of any unauthorized access. We reserve the right to terminate accounts that violate these terms.

4. ARTIST SUBMISSIONS & MEMBERSHIP

Artist tier accounts require approval through our Open Submissions process. By submitting, you confirm that you own or control the rights to all submitted material. Approved artists agree to the HookVault revenue split structure (85% artist / 15% platform on standard licenses; 90% artist / 10% platform on exclusive licenses).

Monthly subscriptions are billed in advance. You may cancel at any time. Upon cancellation, your catalog remains live and continues to earn revenue, but access to platform tools and member resources is suspended until resubscription.

5. MUSIC LICENSING

When you purchase a license through HookVault, you receive a non-exclusive (or exclusive, if applicable) right to use the specified music as defined by the license tier purchased. All licenses are perpetual and worldwide unless otherwise stated.

Licenses do not transfer ownership of the underlying composition or master recording. You may not sublicense, resell, or redistribute the music itself. Permitted uses are defined by the license tier — Creator, Commercial, Broadcast, or Exclusive.

All sales are final. Refunds are only issued in cases of technical failure preventing download.

6. ARTIST CONTENT

Artists retain full ownership of their music. By publishing on HookVault, artists grant us a non-exclusive license to display, stream, and facilitate licensing of their content on the platform. Artists represent and warrant that they own all rights to their submitted content and that it does not infringe any third-party rights.

We reserve the right to remove content that violates these terms, infringes third-party rights, or is otherwise inappropriate for the platform.

7. PAYMENTS & PAYOUTS

License revenue is tracked in your artist dashboard and paid out monthly for balances exceeding $25. Payments are processed via the payment method on file. HookVault is not responsible for delays caused by payment processors or incorrect banking information provided by the artist.

8. MEMBER RESOURCES

Training videos, workshops, AI tools, and other member resources are provided exclusively to active paid Artist and Label tier subscribers. This content is for personal use only and may not be shared, redistributed, or reproduced without written permission.

9. PROHIBITED CONDUCT

You may not: upload content you do not own or have rights to; attempt to circumvent platform security; use the platform for unlawful purposes; harass other users; scrape or copy platform content; or misrepresent your identity or affiliation.

10. INTELLECTUAL PROPERTY

All platform design, branding, code, and non-user content is owned by HookVault | BBW Publishing and may not be copied or reproduced without permission. User-submitted music remains the property of the submitting artist.

11. DISCLAIMERS & LIMITATION OF LIABILITY

The platform is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages arising from use of the platform. Our total liability to any user shall not exceed the amount paid to us in the preceding 12 months.

12. CHANGES TO TERMS

We may update these terms at any time. Continued use of the platform after changes constitutes acceptance. We will notify active subscribers of material changes via email.

13. GOVERNING LAW

These terms are governed by the laws of the State of Arkansas, United States. Any disputes shall be resolved in the courts of Arkansas.

15. PLATFORM DISCONTINUATION

In the event that HookVault is required to discontinue operations — whether due to business closure, acquisition, force majeure, technical failure beyond our control, or any other unforeseen circumstance — we commit to the following:

  • Advance Notice: We will provide a minimum of 30 days written notice to all registered users and active subscribers via the email address on file, where circumstances permit.
  • Artist Data Export: Artists will be given a reasonable opportunity to download their uploaded content, catalog data, and earnings records before the platform goes offline.
  • Outstanding Earnings: Any unpaid artist earnings accrued prior to discontinuation will be paid out to artists at the email and payment method on file, regardless of the $25 minimum threshold.
  • License Validity: All licenses purchased prior to discontinuation remain valid and perpetual. HookVault's closure does not affect the rights granted under any previously issued license agreement.
  • Subscription Refunds: Active subscribers will receive a prorated refund for any unused portion of their current billing period at the time of closure.
  • Emergency Contact: In circumstances where advance notice is not possible, we will make every reasonable effort to communicate with users as soon as practicable through all available channels including email, social media, and the platform itself.

We built HookVault to last. This clause exists because we believe artists deserve to know their rights and their work will always be protected — regardless of what happens to us.
